The improvement of the quality of the world’s water resources is an essential target for all of us!
Currently installed technologies for water treatment as filtration, chemical or ultraviolet treatment do not sufficiently reach this target.
Internationally well-known scientists are convinced that a fourth method – ultra-sound treatment of water – is the technology of the future. While the originally three ways are not capable to kill all microorganisms ultra-sound does it at 100%!
The founder of Ultrasound Solutions – following called USS – is successfully active in the ultra-sound market since several years. He now plans to realize the following milestones:
A. Development of a Ballast-Water-Management-System (BWMS):
for the shipping industry. International regulations set in force from IMO (International Maritime Organization) and USCG (US Coast Guard) have to be met by the ship owners not later than 2019. More than 48.000 ships must be equipped with BWM-Systems (source: DNV-report: Shipping 2020).
B. Acquisition of an existing family of ultra-sound products:
USS has the chance to acquire an existing range of products with all patents and rights from the Belgian manufacturer HARSONIC®. Main markets here are industries as food production, yachting, water treatment and recycling.
HARSONIC - solution against biofilm without chemicals
We are the manufacturer of an innovative device to prevent biofilm in every kind of fluid. The company exists almost 30 years but the product has been developed 5 years ago. The developing has been done by Mr Harteel together with a team of independent engineers.
During the passed years we specialized in the permanent removal of biofilm in several applications, without any chemicals. This means saving maintenance, saving money and saving the environment all at once.
The commercializing is done by Mrs. Harteel. Harsonic is active in the maritime business, the industry and the agriculture. Everywhere where people have fouling issues inside pipelines or tanks, collingsystems, etc ... Harsonic can offer a solution. The last years we have been doing a lot of market research, field trials and building up a reference package.
We work with independent dealers at a worldwide base. At this moment we are active in +/- 24 countries. We believe there is much more selling potential but we need to restructure our company for this. Actually we are a SME working as a multinational.
USS today has a technology advantage of several years against their main competitors. We have the scientific expertise with the ultra-sound technology, we know how to use it and we are capable to successfully build these systems at reasonable costs.
The founder of USS, Mr. Guenter Lemmer is successfully selling ultrasound transducers from HARSONIC® Belgium since 2009. He has the distributorship for the Central European markets.
Today he is accompanied by two senior executives for Sales and Marketing/Business Development with in-depth international experience in selling and marketing high-value products through direct and indirect channels. The CSO position is currently covered by an external Executive Consultant with excellent access to the targeted shipping markets in Europe and Asia.
A team of well-known scientists is responsible for all major R&D activities. They are covering the following disciplines: physics, water and environmental engineering, ocean biology).

8. Reasons for Crowdfunding:
German banks are traditionally very reserved if asked for such an amount of investment. In addition the offered interest rates were far too high and had to be paid from the very beginning.
After several unsatisfying attempts with German banks the founder started to concentrate on international investment companies. Having studied this segment in early 2015 he decided to concentrate on Equity – Crowdfunding for the following reason:
The initial investment during the first 2 years is relatively high compared to the achievable revenues. Crowdfunding is ideal because dividends are only paid on positive results.
9. Obligations and Payback:
After having successfully developed and certified the Ballast Water Management System (BWMS), USS will realize substantial revenues not later than 2018. This allows us to pay the dividend (7%) and to start already the payback.
According to the business plan USS will reach high revenues in 2018. After approx. 5 years the company will be able to pay back the total fund.
The run-time of 7 to 10 years offers additional time as a security option for unforeseeable incidents.
USS is offering an dividends of max. 7 %.
11. Shares for Investors:
1. USS is prepared to provide 25% of total shares for investors.
2. The payment of the first dividend is expected in 2018.
12. Exit Strategy:
As soon as the company has reached a reasonable size and profitability USS is prepared to go public. Preferred stock exchanges are Frankfurt or Stuttgart.
An alternative is being acquired by another company offering a very attractive purchase price.
